First of all, Example Law Firm would like to give our formal greeting and grateful thanks to you. For all the Angs you care about, we would like to state via the following content:
I. BRIEF CONTENT & CLIENT’S REQUESTS
On 09th September, 2014 Ms. A, the representative of company C, presented the following content to Example Law Firm:
Company A having the 100% of foreign investment capital wants to supplement the business line of Event.
Hence, Company A needs Example Law Firm to give some legal advices on As matter and on behalf of them to do As task.
II. LEGAL BASIS:
1. The commitment about services of Viet Nam Government to WTO’s members;
2. Investment Law 2014;
3. Enterprise Law 2014;
4. Commercial Law 2005;
5. Decree No.108/2006/ND-CP dated 22 September 2006 of Government regarding detailed requirements and directions for implementing some articles in Investment Law;
6. Decree No. 43/2010/ND-CP dated 15 April 2010 of Government regarding enterprise registration;
7. Decree No. 78/2015/ND-CP dated September 14, 2015, enterprise registration;
8. Decree of Government No. 99/2015/ND-CP dated October 20, 2015, on guidelines for The Law on Housing;
9. Circular No. 20/2015/TT-BKHĐT dated December 01, 2015, guidance on business registration
10. Other related specialized legal document.
III. LAWYER’S OPINIONS
According to the content and request of your company, our opinions are as follow:
Firstly, according to the commitment about services of Vietnamese government to WTO’s members, foreign investors are only able to do business in sectors that Vietnam commits to open. Additionally, pursuant to As commitment, Vietnam has not opened the Event. Therefore, in terms of principles, it is not acceptable for Company A to supplement the Event in the business lines.
However, successful investing procedure registration depends on the lawyer’s ability in giving statement on economic and social issues which can bring benefits to Vietnam in general and the company itself in particular. Therefore, after discussing the intention of carrying out As investment projects with company A, by our experience in successful investing registration in non-committed sectors, we guarantee to complete As task for you.
Secondly, because of disadvantages of Company A in doing As business line, we need to cooperate with each other closely and you must provide all the documents when required to ensure the success of As task.
1. Documents supplied to Example Law Firm :
- Certificate of investment ;
- Company’s charpter;
- Contract of office lease or Certifcate of ofice ownership right (if any) ;
- Documents proving experience in the Event ; one of the following documents : licence, contract, project carried out, certificate, certificate of award, medal ;
- Financial statement (2013) ;
- Current situation of the employees in the company, a list of quantity of Vietnamese and foreign employees, position and salary;
- Business strategy of the company in As business line: why you choose As sector, estimated annual revenue, potential market, the relation between As business line registration and current business of the company.
2. The working time
- Time for file preparation: 20 working days
- Time for State to consider and grant Certificate of investment with the supplemented business line : 60 working days since the date of submitting the valid file.
3. Language : Vietnamese - English
4. Scope of our work
- Giving legal advices;
- Drafting file;
- Stating to the competent authority: Planning & Investment Service of Ho Chi Minh City, Service of Industry and Trade, Ministry of Industry and Trade, People’s Committee of Ho Chi Minh City;
- Complaining in case of not being granted.
5. Service fee
The total fee is as follows:
